Richiamando un isolato precedente del 2017, con la più recente ordinanza n. 29112 del 20 ottobre 2021 la sezione tributaria della Corte di Cassazione ha ribadito che dopo l’estinzione della società dotata di personalità giuridica i soci non rispondono delle sanzioni tributarie amministrative nemmeno nei limiti previsti dall’art. 2495 c.c., e ciò sulla base del principio di intrasmissibilità delle sanzioni agli eredi sancito dall’art. 8, d.lgs. n. 472/1997. Nel commento sono esposte le ragioni per cui la tesi accolta dalla Cassazione appare discutibile. Come noto, con riguardo alle società dotate di personalità giuridica il principio di personalità delle sanzioni è stato superato per effetto dell’art. 7, d.l. n. 269/2003 (il quale ha previsto che le sanzioni amministrative relative al rapporto fiscale proprio di società o enti con personalità giuridica sono esclusivamente a carico della persona giuridica medesima in luogo di quello della persona fisica agente), sicché si può dubitare che con riguardo ai medesimi soggetti possa trovare applicazione il principio di intrasmissibilità delle sanzioni agli eredi (che del principio di personalità rappresenta un corollario). Un corretto inquadramento della questione, dunque, sembrerebbe condurre a conclusioni diverse da quelle fatte proprie dalla Cassazione.

Referring to an isolated judgment of 2017, with the most recent ordinance no. 29112 of October 20th, 2021 the tax section of the Supreme Court reiterated that after the extinction of the Company with legal entity, the shareholders are not liable for administrative tax penalties even within the limits provided for by art. 2495 of the Italian Civil Code, and this on the basis of the principle of intransmissibility of penalties to heirs provided for in art. 8, Legislative Decree no. 472/1997. This article sets out the reasons why the thesis accepted by the Supreme Court appears questionable. As is well known, with regard to companies with legal personality the principle of the personal nature of sanctions has been superseded by art. 7, legislative decree no. 269/2003 (which provides that administrative sanctions relating to the tax relationship proper to companies or entities with legal personality are to be borne exclusively by the legal entity itself rather than the person who acts for it), so that it is doubtful that with regard to the same subjects the principle of intransmissibility of sanctions to heirs (which is a corollary of the principle of personality) can be applied. A correct framing of the question, therefore, would seem to lead to different conclusions from those adopted by the Supreme Court.
