Il saggio si propone di svolgere un’indagine su tre distinti piani:
Il primo, destinato a definire i contorni dell’oramai riconosciuta ammissibilità di società semplici che abbiano ad oggetto il “solo” godimento di beni. A tal fine, si è ragionato muovendo da quell’orientamento che analizza il rapporto tra una costante legislazione fiscale manifestamente favorevole alle società semplici di mero godimento ed il restrittivo disposto dell’articolo 2248 c.c. L’analisi è principalmente orientata a considerare la rilevanza della nozione di “attività d’impresa” non già, e comunque non più, per distinguere la linea di confine tra società di godimento lecite (perché attratte a tipi commerciali) ed illecite perché conflittuali con il disposto dell’articolo 2248 c.c.; piuttosto per scrutinare il confine tra società semplice di solo godimento e società commerciale di godimento. Distinzione quest’ultima di cui si esaminano talune ricadute.
Il secondo piano è orientato a verificare il regime pubblicitario delle società semplici di solo godimento nel più ampio quadro di quello delle società semplici, dato atto che nell’ambito della rilevanza delle disposizioni in tema di Registro delle Imprese, il codice civile del 1942 non prevedeva – per le società semplici – l’iscrizione. Il tutto in un contesto in cui la normativa, ulteriormente modificata, ha chiarito che per la società semplice che svolge attività agricola l’iscrizione è invece necessaria ed ha funzione di pubblicità legale. Da qui i logici e dibattuti corollari del regime pubblicitario della società di solo godimento ossia il problema della necessaria iscrivibilità o meno, e l’eventuale valore della pubblicità eseguita.
Da ultimo, l’analisi si concentra sull’esame delle cd. holdings di partecipazioni che comportano diverse problematiche sia con riferimento alla disciplina del controllo (art. 2358 c.c.), sia avuto riguardo alla questione della direzione e coordinamento di cui agli artt. 2497 e ss. c.c. Questioni che hanno ulteriormente reso necessario un raffronto tra il modello in esame e la disciplina dei cd. “gruppi” pure alla luce della legislazione sulla crisi ed insolvenza d’impresa.

The essay is aimed to carry out a systematic reasoning over the model of the Italian “società semplice” based on three distinct levels:
The first, is meant to define the outlines of the recently recognized admissibility of such a model even when it has as its activity the "only" entitlement of assets. To this purpose, the author started from the tendency that analyzes the relationship between a well-known Italian constant tax legislation, manifestly favorable to the “società semplici” which have as their activity the "only" entitlement of their assets, and the more restrictive provision of the article 2248 of the Italian civil code. The perspective is mainly addressed at considering the relevance of the notion of such kind of business activity not already, and in any case no longer, to distinguish the borderline between allegedly legitimate companies (because attracted to the so called commercial models) and supposed illegal ones (because in conflict with the provisions of Article 2248 of the Italian Civil Code), rather to scrutinize the boundary between companies of different models (commercial or not) having the same activity of the entitlement of their assets . Distinction that produces certain consequences worth considering.
The second plan is thought to verify the “legal notices regime” of the “società semplice” within the broader framework of that regime, given that, in the context of the relevance of the provisions related to the Companies Register, the civil code of 1942 did not provide – for the società semplici – registration. Such a general rule has been partially amended, and despite the former provision, the legislator has made it clear that at least for the società semplici that carry out agricultural activities registration is instead necessary and would have a legal notice role. Hence the logical and debated corollaries over the legal notice regime of the companies which have the “mere” entitlement of their assets as their activity. This implied to face with the problem of the mandatory registration (or not), and that of the possible value of the possible registration performed.
Finally, the analysis focuses on the examination of the “parent companies” (i.e. companies which hold –as specific business activity– shares of other companies). This involves various legal problems both with reference to the discipline of the control (according to the article 2358 of the Italian Civil Code) and with regard to the issue of management, supervision and coordination referred to the articles 2497 and ss. c.c. These issues have additionally requested a comparison between the model in the case and the discipline of the so-called “groups” also in light of the legislation on companies crisis, insolvency and bankruptcy.
