Il presente elaborato prende in considerazione il reato di falso in attestazioni e relazioni di cui all’art. 236-bis l. f. che sanziona l’attestatore che espone informazioni false ovvero omette di riferire informazioni rilevanti. L’Autore, a seguito di brevi riflessioni sulla ratio e sull’introduzione della norma, si sofferma sull’analisi della fattispecie della legge fallimentare, focalizzando l’attenzione, in primo luogo, sul bene giuridico protetto, identificato nel corretto andamento della procedura, e poi sui soggetti attivi del reato, ovvero i professionisti attestatori. L’analisi si sposta in seguito sulle condotte penalmente rilevanti, individuate rispettivamente nell’esposizione di false informazioni e nel mancato riferimento di informazioni rilevanti. In detto paragrafo vengono prese in esame sia la fattispecie commissiva sia quella omissiva che si configura in presenza di reticenze antidoverose e consapevoli del professionista in merito ad informazioni che, se conosciute, avrebbero determinato un mutamento nella valutazione del destinatario dell’attestazione. Infine, è considerato l’elemento soggettivo, con riferimento altresì alla fattispecie aggravata che si configura quando il fatto è commesso al fine di conseguire un ingiusto profitto.
Nel paragrafo conclusivo, da ultimo, il testo si sofferma sulla relazione tra la fattispecie di falso in relazioni ed attestazioni e quella di concorso nel reato di bancarotta da dissesto, che tipicamente si configura in caso di fallimento dichiarato a seguito di revoca di un concordato preventivo supportato da una falsa rappresentazione della situazione aziendale.
This work deals with the criminal offence of false statements and reports, pursuant to Article 236-bis of the Bankruptcy Law, which punishes the certifier (i.e. the “attestatore”) who provides false information or omits reporting relevant information. The Author, having briefly reflected on the rationale and introduction of this provision, dwells on the analysis of its content, taking into consideration, first of all, the interest protected by the law, i.e. the correct implementation of the procedure, and secondly, the person committing the offence, i.e. professional certifiers. The paper analyzes the criminally relevant conduct, identified – respectively – in the provision of false information and in the omission of relevant information. In this paragraph, the both the first and the second conduct are analyzed – the latter occurring in case of conscious and unlawful omissions of information which, if known, would have influenced the assessment made by the recipient of the reports. Then, the subjective element is taken into consideration, also in reference to the aggravated offense where the fact is committed to obtain an unfair profit.
Finally, in the last paragraph, the text dwells on the relationship between the offence of false statements and reports and the participation in the offence of bankruptcy, which typically occurs in case of a bankruptcy declaration following the revocation of an arrangement with creditors based on a false representation of the company’s situation.
